Terms of Use

Effective 21 August 2026. These Terms of Use govern your access to and use of the GEF One platform, website, applications, technology, account interface and services provided by Global Enterprise Financial, Inc. ("GEF", "we", "us" or "our"). GEF One is the customer platform brand operated by Global Enterprise Financial, Inc., a Delaware corporation. GEF One may provide access to services supplied by independent third-party providers, and those services may be subject to separate agreements, disclosures, privacy policies, fees and terms issued by the applicable provider. By accessing the GEF One platform, submitting an application, opening an account, using a GEF One service or otherwise using the platform, you agree to these Terms of Use. If you do not agree with these Terms, you must not use GEF One.

Important information about GEF One

GEF One is designed to provide a unified technology and financial-services access platform through which customers may be connected with third-party financial institutions, payment providers, digital-asset service providers, card programmes, investment providers and other regulated or specialist service providers ("Licensed Partners"). Unless expressly stated otherwise for a particular product, GEF is not itself the bank, deposit-taking institution, card issuer, investment provider, broker, exchange, custodian, payment institution or other regulated financial-service provider responsible for the underlying product. The regulated financial product or service is provided by the relevant Licensed Partner under that provider's own terms, licences, registrations, regulatory obligations and eligibility requirements. GEF's role may include technology, platform operation, customer onboarding, verification, product matching, distribution, administration, support, integration and other services, and the particular role performed by GEF may differ according to the product, provider and jurisdiction. For clarity, GEF's role does not automatically make GEF the provider, issuer, custodian, lender, investment firm, payment institution, bank or other regulated entity responsible for an underlying financial product or service; the legal entity responsible for the underlying service will be identified in the applicable product documentation where required.

Licensed Partners

"Licensed Partner" means a third-party bank, financial institution, payment institution, electronic money institution, card issuer or card programme provider, investment firm, broker, digital-asset service provider, custodian, lender, foreign-exchange provider or other regulated or authorised provider responsible for an underlying financial product or regulated financial service made available through GEF One. The applicable provider may differ by product, customer and jurisdiction. "Service Provider" means a third-party technology, identity-verification, compliance, screening, fraud-prevention, blockchain-analytics, cloud, cybersecurity or other operational or support provider that assists GEF in operating GEF One but does not itself provide the regulated financial product or service; the same organisation may act as a Licensed Partner for one function and a Service Provider for another. A Service Provider is not responsible for the underlying regulated financial product merely because it provides technology, compliance, infrastructure or operational support to GEF or a Licensed Partner. Products and services available through GEF One may be provided by applicable Licensed Partners and supported by Service Providers. The applicable provider, regulatory status, licence or authorisation, customer relationship and jurisdiction may differ by product and will be disclosed in the applicable product documentation where required. The term "Licensed Partner" is used on this website as a general description of a relevant third-party provider and does not mean that the provider is licensed or authorised in every jurisdiction in which GEF One may be accessed. Where a product is provided by a Licensed Partner, that provider's own customer agreement, disclosures, privacy policy, fee schedule and other terms may also apply, and you may be required to accept those additional terms before receiving the relevant product or service.

Separate Provider Relationship

Where you use a product or service provided by a Licensed Partner, you may have a separate contractual relationship directly with that provider, and the provider's customer agreement, disclosures, privacy policy, fee schedule and other applicable terms may therefore apply in addition to these Terms. GEF's role is limited to the services GEF itself provides and does not make GEF the provider of the underlying regulated product unless expressly stated for that specific product and jurisdiction.

Product availability

Products and services are not available in every country or to every customer. Availability may depend on your country or jurisdiction, residence, citizenship or nationality, age, identity verification, tax residency, source of funds or wealth, business activities, risk classification, sanctions screening, regulatory requirements, Licensed Partner eligibility criteria, product-specific restrictions and applicable law. GEF may restrict or remove products in a particular jurisdiction at any time where required by law, regulation, partner requirements or risk controls.

Eligibility

To use GEF One you must meet the minimum age applicable to the service; provide accurate, complete and current information; successfully complete required identity and/or business verification; satisfy applicable eligibility and risk requirements; comply with applicable laws and regulations; and not be subject to applicable sanctions, prohibitions or restrictions. Certain products may have additional eligibility requirements, and you must not open or operate an account on behalf of another person unless expressly authorised to do so. Meeting GEF One's general eligibility requirements does not guarantee approval for any particular banking, payment, card, investment, digital-asset, lending or other financial product, and the applicable provider may independently assess your application and may approve, decline, restrict or withdraw access in accordance with its own requirements and applicable law.

Individual accounts

Where you open an individual account, you represent that the information you provide is true and accurate; that you are acting for yourself unless otherwise disclosed and authorised; that you will keep your information current; that you will maintain control of your authentication credentials; that you will promptly notify GEF of suspected unauthorised access; and that you will comply with all applicable laws.

Business and institutional accounts

For business, corporate, institutional, trust or other organisation accounts, GEF or the relevant Licensed Partner may require information regarding the legal entity, directors, shareholders, beneficial owners, authorised representatives, controlling persons, source of funds, source of wealth, business activities, expected transaction activity and supporting corporate documentation. The person submitting an application on behalf of an organisation represents that they are authorised to do so, and you must promptly notify GEF of material changes to ownership, control, directors, authorised users or other information relevant to the account.

Identity verification and compliance

GEF may conduct identity verification, business verification and risk assessment before or during the relationship, which may include identity-document verification, liveness verification, address verification, business verification, beneficial ownership verification, sanctions screening, politically exposed person screening, adverse-media screening, fraud screening, source-of-funds and source-of-wealth verification, transaction monitoring and other compliance checks. The relevant Licensed Partner may conduct additional or independent checks. You agree to provide information and documentation reasonably required for these purposes, and failure to provide requested information may result in an application being declined, a service being restricted or an account being suspended or closed.

Account security

You are responsible for protecting passwords, authentication credentials, recovery information, access devices, authentication codes and other security information associated with your account. You must not share credentials with another person, and you must notify GEF immediately if you believe your account has been compromised. GEF may require additional authentication or verification before processing certain requests.

Digital assets and cryptocurrency

Where GEF One provides access to digital-asset services, those services are provided by the applicable Digital Asset Partner or other appropriately authorised provider, subject to the provider's terms, regulatory status, supported assets, supported networks and jurisdictional restrictions. Digital assets involve substantial risks, including significant price volatility, loss of value, liquidity risk, network congestion, blockchain failures, cyberattacks, fraud, smart-contract vulnerabilities, private-key or credential loss, transaction errors, irreversible transactions, regulatory changes, sanctions restrictions, counterparty risk and custody risk; services may also involve blockchain fees, network fees, stablecoin or token-specific risks, blockchain congestion, network upgrades and forks, and GEF does not guarantee the availability, value, liquidity, transferability or continued support of any digital asset or blockchain network. A digital-asset transaction may be irreversible once submitted to a blockchain network, and you are responsible for verifying wallet addresses, network selection and transaction details before confirming a transaction. Digital-asset transactions may also incur blockchain or network fees, and fees, confirmation times and transaction finality may depend on the relevant blockchain network and may change without notice. The applicable digital-asset provider's terms and risk disclosures will apply where relevant, and nothing on GEF One constitutes a guarantee that a digital asset will maintain or increase in value.

Digital-Asset Custody and Private Keys

Custody arrangements vary by product. Where a digital-asset product is expressly identified as non-custodial, the customer may control the relevant private keys and is responsible for maintaining the security and recovery of those keys. Where a Licensed Partner or other provider provides custodial services, that provider may safeguard or control the relevant digital assets or private keys, and the applicable custody arrangement will be disclosed for the relevant product. GEF does not assume custody or control of customer digital assets or private keys merely because a digital-asset service is accessible through GEF One.

Banking and payment services

Where banking, payment, foreign-exchange or account services are made available through a Licensed Partner, the Licensed Partner is responsible for the underlying regulated service; funds may be held by the relevant financial institution or provider; applicable deposit protection, safeguarding or compensation arrangements depend on the provider and jurisdiction; transaction processing may be subject to provider controls; and the provider's customer agreement and disclosures may apply. GEF does not guarantee the availability, solvency or continued operation of any third-party provider, and GEF does not represent that funds made available through a banking, payment or account product are protected by a particular deposit-insurance, safeguarding, compensation or government-backed scheme unless that protection is expressly identified for the relevant product.

Cards

Card services are provided through the applicable regulated card programme and issuing partners, and provider details will be disclosed for each card product before application or activation. The applicable cardholder agreement, programme terms, fees, limits, geographic restrictions and eligibility requirements apply, and GEF does not represent that a card is available in every jurisdiction.

Investment services

Where investment products or services are made available through GEF One, the underlying investment service is provided by the applicable investment provider and is subject to that provider's terms, disclosures, regulatory framework and eligibility requirements. Depending on the arrangement, GEF may introduce customers to an investment provider, provide technology, display general information, facilitate access to a third-party service or provide platform-related administration. Unless expressly stated otherwise for a particular service and jurisdiction, GEF does not provide personalised investment advice, investment recommendations, portfolio management, discretionary investment management or execution services and does not determine whether an investment is suitable or appropriate for you. The applicable investment provider is responsible for its own regulated investment activities, including any suitability, appropriateness, advice, execution, custody, portfolio-management and disclosure obligations applicable to its service. Information displayed on GEF One regarding investments is general information only and is not, by itself, a recommendation to acquire, dispose of or retain an investment.

Fees, commissions and partner charges

GEF may receive fees, commissions, referral payments, platform fees or other remuneration from Licensed Partners; where applicable, such arrangements will be disclosed in accordance with applicable law and regulatory requirements. Customers may also be charged fees directly by a Licensed Partner, which can include account fees, transaction fees, foreign-exchange charges, payment fees, card fees, digital-asset network fees, withdrawal fees, provider charges, partner charges and other disclosed service fees. Applicable GEF and provider charges will be disclosed before confirmation where required by applicable law or the relevant product terms. Certain third-party, foreign-exchange, blockchain, network or transaction charges may vary according to market, provider or network conditions.

GEF One Subscriptions and Platform Fees — Paid plans

GEF may offer free and paid GEF One platform plans. The features, limits, subscription price and billing frequency applicable to a paid plan will be displayed on the GEF One Plans & Pricing page and before you subscribe. A paid GEF One subscription is payment for access to the applicable GEF technology platform features described for that plan. It is separate from any underlying financial, payment, digital-asset or other product supplied by an independent Licensed Partner or Service Provider.

GEF One Subscriptions — Recurring billing

Unless expressly stated otherwise, paid monthly GEF One subscriptions automatically renew for successive monthly billing periods until cancelled. By subscribing, you authorise GEF and its payment processor to charge the applicable subscription fee to your selected payment method at each renewal, subject to your right to cancel described below.

GEF One Subscriptions — Cancellation

You may cancel a paid GEF One subscription using the subscription-management functionality available in the GEF One customer portal, or by contacting GEF support. Unless otherwise required by law or expressly stated at purchase, cancellation takes effect for renewal purposes at the end of the current paid billing period. See the Refund & Cancellation Policy for further detail.

GEF One Subscriptions — Separate provider and transaction fees

GEF One subscription fees do not necessarily include charges associated with third-party products or transactions. Additional charges may include provider fees, blockchain/network fees, transaction fees, foreign-exchange charges, spreads or other service-specific costs. Applicable charges are disclosed in the relevant service or transaction flow where required.

GEF One Subscriptions — Price and plan changes

GEF may introduce, change or discontinue GEF One subscription plans, features and prices. Existing paid customers will receive any notice required by applicable law before a price change applies to a future renewal.

GEF One Subscriptions — Failed payments

If a subscription payment fails, GEF may retry the payment where supported by its payment processor and may suspend paid-plan features if payment remains outstanding. Suspension of GEF One platform features does not give GEF ownership or control of an independently controlled customer wallet.

GEF One Subscriptions — Taxes

Subscription prices may be subject to applicable taxes depending on your location and applicable law. Any applicable tax treatment is displayed or applied through checkout where required.

GEF One Subscriptions — Third-party payment processing

GEF uses third-party payment processors, including Stripe, to process GEF One subscription and platform-service payments. Payment processing is also subject to the applicable processor's own terms and privacy practices.

No guarantee of service availability

GEF One and individual products may be unavailable due to maintenance, technical failures, cyber incidents, network outages, blockchain interruptions, banking or payment network interruptions, provider decisions, regulatory requirements, sanctions, market conditions, liquidity constraints, force majeure events or other circumstances beyond GEF's reasonable control. GEF does not guarantee uninterrupted availability.

Transactions

You are responsible for reviewing transaction details before confirmation. Once a transaction has been submitted, cancellation or reversal may not be possible. Where a transaction is processed by a Licensed Partner, the partner's transaction rules and procedures apply, and GEF may delay, reject or restrict transactions where reasonably necessary for security, fraud prevention, compliance, sanctions, legal or operational reasons.

Prohibited activities

You must not use GEF One to conduct unlawful activity, commit fraud, facilitate money laundering, finance terrorism, evade sanctions, conceal the proceeds of crime, impersonate another person, provide false information, manipulate markets, exploit technical vulnerabilities, circumvent account restrictions, bypass KYC or AML controls, facilitate prohibited gambling or other unlawful activities, use the platform for unauthorised financial services, interfere with the platform's security, introduce malicious software, or otherwise breach applicable law. GEF may take appropriate action where prohibited activity is suspected.

Monitoring

GEF may monitor activity on the platform for security, fraud prevention, compliance, sanctions, financial crime, operational integrity, service improvement and legal obligations. Licensed Partners may independently conduct their own monitoring.

Suspension and closure

GEF or a Licensed Partner may suspend, restrict or close an account where reasonably necessary because of suspected fraud, security concerns, incomplete or inaccurate information, failure to complete verification, sanctions, regulatory requirements, legal obligations, prohibited activity, partner requirements, operational risk, breach of these Terms, or termination or unavailability of a relevant partner service. Where access to a GEF One account is suspended or terminated, the treatment of any funds, assets, transactions or financial products held or administered by a Licensed Partner will be determined by the applicable provider's terms and applicable law, and suspension or termination of a GEF One platform account does not necessarily terminate a separate relationship between the customer and a Licensed Partner. Where legally permitted, GEF may provide notice and an explanation, but GEF may be unable to provide detailed reasons where disclosure would breach legal, regulatory, security or financial-crime obligations.

Third-party services

Third-party services may be subject to separate terms. GEF is not responsible for the acts or omissions of a third-party provider except to the extent liability cannot lawfully be excluded. Your relationship with a Licensed Partner is governed by the terms applicable to that partner's product or service.

Intellectual property

The GEF One platform, including its software, design, text, graphics, trademarks, logos, interfaces and other content, is owned by or licensed to GEF. You receive a limited, non-exclusive, non-transferable right to use GEF One for its intended purpose. You must not copy, reproduce, modify, reverse engineer, distribute, sell, licence, commercially exploit or create derivative works from GEF One or its content without prior written permission, except where permitted by law.

Website information

Information provided on the GEF website is general information only and does not necessarily take account of your individual circumstances, objectives or financial situation. Information about financial products, digital assets, investments, payments or other services should not be interpreted as personal financial advice unless expressly stated and legally authorised, and product information may change without notice.

No Guarantee of Approval or Financial Outcome

GEF does not guarantee that an application will be approved, that a particular financial product will be available, that a customer will obtain banking, payment, card, investment, credit or digital-asset access, or that any investment, digital asset, foreign-exchange transaction or other financial product will generate a particular return or outcome.

Risk

Financial products and services made available through GEF One may involve significant risks. Depending on the product and provider, these may include banking risk, counterparty risk, payment risk, foreign-exchange risk, investment risk, digital-asset risk, custody risk, stablecoin risk, liquidity risk, technology risk, blockchain risk, regulatory risk, sanctions risk, fraud risk, cyber risk, market volatility and transaction irreversibility. The risks applicable to a particular product depend on the product, provider, jurisdiction and applicable terms. Customers should review the applicable product-specific disclosures and provider documentation before using a financial service and should obtain independent professional advice where appropriate. GEF does not guarantee any particular financial outcome, investment return, yield, exchange rate, credit approval, banking access, payment outcome or digital-asset value.

Limitation of liability

To the maximum extent permitted by applicable law, GEF is not liable for losses arising from the acts or omissions of a Licensed Partner, third-party service interruptions, blockchain network failures, banking network failures, market movements, digital-asset price movements, unauthorised access caused by compromised customer credentials, transaction errors made by the customer, regulatory restrictions, sanctions, force majeure events, or circumstances outside GEF's reasonable control. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, and nothing in these Terms limits consumer rights or other mandatory protections that apply under applicable law.

Indemnity

To the extent permitted by law, you agree to indemnify GEF against reasonable losses, claims, liabilities and expenses arising from your breach of these Terms, unlawful use of GEF One, fraud or misconduct, infringement of third-party rights, or violation of applicable law. This clause does not apply to the extent the loss resulted from GEF's own unlawful conduct or liability that cannot lawfully be transferred to you.

Privacy

Personal information is handled in accordance with the GEF One Privacy Policy and any applicable jurisdiction-specific privacy notice, and where a Licensed Partner independently processes personal information for its regulated service, that provider's privacy policy and legal obligations may also apply.

Changes to these Terms

GEF may update these Terms from time to time. The updated version will be published on the GEF website with a revised effective date, and where required by law, material changes will be communicated to affected customers before they take effect. Your continued use of GEF One after the effective date of updated Terms constitutes acceptance where permitted by law.

Governing law and dispute resolution

The contractual relationship between you and GEF in relation to the GEF One platform is governed by the laws of the State of Delaware, without regard to conflict-of-law principles, subject to any mandatory consumer, privacy, financial-services or other legal protections applicable to you. An underlying banking, payment, card, investment, digital-asset or other regulated service may be governed by separate terms issued by the applicable Licensed Partner and may be subject to the laws and dispute-resolution arrangements of a different jurisdiction. Where required, the applicable jurisdiction, regulator and dispute-resolution mechanism will be disclosed in the relevant product documentation.

Complaints

GEF maintains separate complaint pathways depending on the nature of the complaint. GEF complaints, concerning the GEF One platform, onboarding, technology, customer support or services provided directly by GEF, should be directed to GEF at complaints@globalenterprisefinancial.com. Licensed Partner complaints, concerning an underlying banking, payment, card, investment or digital-asset service, should be directed to the applicable Licensed Partner in accordance with that provider's complaints process and applicable law. Privacy complaints, concerning personal information, should be directed through the GEF privacy complaint process. Regulatory complaints: where applicable, customers may have rights to complain to the regulator or external dispute-resolution body relevant to the provider, product and jurisdiction. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified or removed to the minimum extent necessary and the remaining provisions will continue in effect.

Entire agreement

These Terms, together with any applicable product-specific terms, privacy notices, disclosures and agreements, constitute the agreement governing your use of GEF One.
